Corporate Governance Manager
Responsibilities:
• Support in building the governance framework for the organization and with cooperation with stakeholders in accordance with the with applicable laws, regulations and best practices.
• Assist in building and maintaining corporate governance-related policies such as Conflict of Interest Policy, Code of Conduct, Related Party Transactions, Remuneration Policy etc. in accordance with the applicable laws, regulations and best practices.
• Activating sound governance practices in the organization to reduce risks and raise performance efficiency and applying these practices (such as non-conflict of interest disclosure forms, non-disclosure agreements, etc.) through the relevant departments.
• Support in building, reviewing and updating the Delegation of Authority that governs the Board of Directors’ relationship with the executive departments and following up on its implementation and updating it on an ongoing basis.
• Assist in building, reviewing and updating the operational Authority Matrix that governs all executive departments’ powers in a way that achieves the principles of transparency and objectiveness and updating it on an ongoing basis.
• Assist in overseeing the establishment of companies and subsidiaries, ensuring compliance with pertinent laws, regulations, and governance standards.
• Provide necessary guidance and advise to the subsidiaries on establishing and implementing appropriate corporate governance in alignment with the Organization’s governance framework.
• Provide recommendations on enhancements/updates to the corporate governance policies and practices, in line with good CG practices, and changes in laws & regulations.
• Support in building and maintaining the organizational policy framework for all internal entities including procedures for new or amended policies and procedures (with regular monitoring and reviews and ensuring any changes are promptly incorporated into the relevant policies on the organization’s intranet) and coordination of the approvals.
• Support in designing and supporting the formation of BoD committees and management committees in accordance with the organization's business strategy and requirements including the draft and reviewal process of committees' charters.
• Provide training and raising awareness about organization corporate governance.
Qualifications:
• Bachelor's degree in business administration, law, finance, or a related field.
• Master's degree preferred.
• (7 to 9) years of related experience.
• Applicable professional certifications preferred.
Skills and Competencies:
• In-depth knowledge of corporate governance principles, regulatory requirements, and best practices.
• Advanced Understanding and knowledge of Saudi's Companies Law.
• In-depth knowledge of subsidiaries governance and operations.
• Strong understanding of board and committee management, including charter development and performance evaluation.
• Proven experience in policy and procedure development and implementation.
• Fluent in English and Arabic.
